BY ACCESSING OR USING THIS PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, PRIVACY POLICY AND SUCH OTHER AGREEMENTS, AS MAY BE ADOPTED BY US FROM TIME TO TIME. PLEASE READ THESE TERMS CAREFULLY BEFORE ENTERING INTO A TRANSACTION ON THIS PLATFORM. THIS DOCUMENT IS AN ELECTRONIC RECORD UNDER THE INFORMATION TECHNOLOGY ACT, 2000 AND RULES THEREUNDER. THIS ELECTRONIC RECORD IS GENERATED BY A COMPUTER SYSTEM AND DOES NOT REQUIRE ANY PHYSICAL OR DIGITAL SIGNATURES. KRUPA HOMES

1. General

1.1 The Platform is owned and operated by Krupa Platforms (Krupa Realestate Projects Private Limited), operating under the brand name “Krupa Homes”, having its corporate office at Krupa Corporation HQ, 4th Floor, Sailok Complex, 6/1, Arundelpet, Guntur, Andhra Pradesh – 522002, India, and its registered office at Dno-8-21, Beside Gulcose Factory, Guntur, Andhra Pradesh – 522005, India.

1.2 Your use of the Platform is governed by the following Terms of Use as applicable and the Agreements (defined below) provided separately on the Platform and which are or may hereafter be incorporated herein by way of reference (“Terms of Use”). If You transact on the Platform, You shall also be subject to the Agreements that are applicable to the Platform for such Transaction. By mere use of the Platform, You shall be contracting with Krupa Homes, and these Terms of Use including the Agreements constitute Your binding obligations, with Krupa Homes.

1.3 For the purpose of these Terms of Use, wherever the context so requires: (a) “Affiliate” shall mean, with respect to each party, any person or entity directly or indirectly through one or more intermediary Controlling, Controlled by, or under direct or indirect common Control with a party. (b) “Platform” shall mean this internet based services platform krupahomes.com and/or an application, website and/or web-page owned and/or operated, directly or indirectly, by Krupa Platforms. (c) “GST” means the goods and service tax as levied under applicable central and state laws. (d) “Krupa Group” shall mean and include Krupa Corporation Pvt Ltd and its subsidiaries, associate companies, joint ventures and Affiliates. (e) “KYC Documents” means such know your customer documents as may be required to be submitted to Krupa Homes. (f) “Profile” means the individually identifiable profile of User created at the time of registering on the Platform. (g) “Transaction” means the process of booking and availing Services.(h) “User Content” means content including data or information of You, including ratings, comments, reviews, suggestions, questions or other information and project related information and documentation shared with the User. (i) “We” or “Us” or “Our” or “Krupa Homes” means Krupa Platforms (Krupa Realestate Projects Private Limited), operating under the brand name “Krupa Homes”, or its subsidiaries or Affiliates. (j) “You” or “Your” or “User/s” means a legal person who is given access to use the Platform for the purpose of availing services on the Platform. (k) “Contractors” or “Service Providers” means the independent third-party construction contractors listed on the Platform and offering construction services to Users.

1.4 By accessing or using this Platform, You agree to be bound by these Terms of Use, the Privacy Policy and related agreements (“Agreements”). In the event of any conflict, the Privacy Policy and these Terms shall apply in accordance with their respective scope. These Terms of Use together with the Privacy Policy, the other Agreements and all other notices and guidelines appearing on the Platform constitute the agreement upon which You are allowed to access and avail the Services.

1.5 The monies on the Platform are displayed in Indian Rupees. Prices unless specified otherwise are exclusive of applicable taxes including GST and other applicable levies.

2. Services

2.1 Krupa Homes owns and operates the Platform, wherein Krupa Homes, using its technology and platform services, connects Users with Contractors, assigns Contractors for projects, coordinates project execution, and facilitates the delivery of building construction services (“Services”).

2.2 The Platform services are subject to applicable law, availability, project requirements and the Agreements. Krupa Homes may cancel or decline a Transaction where required by law, where a Contractor cannot be assigned, where the Platform is unavailable, or in other circumstances permitted under these Terms.

3. Access to the Platform

3.1 You may access and use the Platform only if You are 18 years of age or older and legally capable of entering into a binding contract under applicable law.

3.2 Subject to compliance with these Terms and Agreements, Krupa Homes grants You a personal, non-exclusive, non-transferable, revocable and limited privilege to access and use the Platform for its intended purposes.

4. Your Profile and Your Information

4.1 Users may be required to register on the Platform by submitting requisite information and creating a Profile. Username and password credentials, where applicable, are non-transferable and must be kept confidential.

4.2 You confirm that information in Your Profile is accurate, genuine and current and shall promptly notify Krupa Homes of unauthorised use or security breaches.

4.3 If information is untrue, inaccurate, not current or incomplete, Krupa Homes may suspend or terminate the Profile and refuse current or future use of the Platform or Services.

4.4 You are responsible for maintaining confidentiality and security of Your Profile and all activities carried out through it.

4.5 Your mobile number and/or email address may be used as primary identifiers and should be kept up to date.

4.6 Krupa Homes shall not be responsible for consequences arising from Your failure to update contact information.

4.7 Krupa Homes may monitor content posted by Users and may remove content that violates these Terms or applicable law.

4.8 Personal information supplied to Krupa Homes is governed by the applicable Privacy Policy.

4.9 You authorize Krupa Homes and applicable Krupa Group entities to collect, use, process and store information provided by You, verify Profile information, communicate with You, and administer Your Profile, subject to applicable law and the Privacy Policy.

5. Electronic Execution and Communications

5.1 When You use the Platform or communicate with Us electronically, You consent to electronic records and communications from Krupa Homes.

5.2 Krupa Homes will undertake reasonable efforts to maintain Platform availability, but uninterrupted or error-free availability cannot be guaranteed. The Platform may be suspended for maintenance, repairs, upgrades or introduction of new facilities.

6. Platform for Transaction and Communications

6.1 The Platform provides a venue for communication, project coordination and payment facilitation. The construction contract is a bipartite contract between the User and the assigned Contractor.

6.2 Commercial and contractual terms relating to construction services are agreed between Users and Contractors under the applicable construction agreement. Krupa Homes may provide transaction support, project coordination and payment facilitation.

6.3 Krupa Homes is not the construction contractor. The Contractor is responsible for construction execution, workmanship, quality, delays, defects, site safety, labour, permits and statutory compliance, except to the extent expressly undertaken by Krupa Homes under an applicable Agreement.

6.4 Krupa Homes does not make representations or warranties as to the attributes of services offered by Contractors and Users should exercise appropriate judgment when entering into a construction agreement.

7. Use of the Platform

7.1 You agree not to host, display, upload, modify, publish, transmit, update, share or otherwise make available information that is unlawful, misleading, defamatory, obscene, infringing, harmful to minors, threatening, fraudulent, contains malicious code, violates privacy, or otherwise violates applicable law or these Terms.

7.2 You agree not to misuse the Platform, including by accessing another person’s Profile, attempting unauthorised access, probing vulnerabilities, using automated data extraction tools, disrupting Platform infrastructure, circumventing billing or registration systems, engaging in fraudulent practices, or violating applicable laws.7.3 You shall comply with applicable laws and regulations in connection with Your use of the Platform and Services.

7.4 You are responsible for maintaining the computer/mobile equipment, internet connection, software and other technology required to access the Platform.

7.5 Krupa Homes may cancel Transactions that cannot be processed or assigned, including due to Platform unavailability, force majeure, credit limitations, suspected fraud or other circumstances permitted by these Terms.

7.6 You shall not resell Services or access rights obtained through the Platform for profit without prior written consent.

7.7 You may be required to install updates needed to use the Platform and Services.

7.8 You may post ratings, comments, suggestions, questions and other content. You are responsible for such content and represent that You have the necessary rights and consents.

7.9 Services are primarily presented for use in India unless otherwise stated.

8. Payment

8.1 Krupa Homes may charge applicable fees for Platform or Services and will communicate applicable charges where reasonably practicable.

8.2 You agree to provide accurate payment information and use payment instruments lawfully owned or controlled by You.

8.3 Transactions, transaction prices and construction obligations are principal-to-principal contractual obligations between Users and Contractors under the applicable construction agreement. Krupa Homes acts as an independent service provider for facilitation, project coordination and payment handling.

8.4 Krupa Homes may deduct or collect applicable taxes under law.

8.5 Use of the payment facility does not make Krupa Homes responsible for non-performance of construction services by a Contractor, except to the extent expressly undertaken by Krupa Homes under an applicable Agreement or required by law.

8.6 Payments shall be made through payment methods made available by Krupa Homes. A portion of the project price may be paid as an advance and the balance shall be payable according to milestones agreed under the applicable construction agreement.

8.7 You authorize Krupa Homes or its payment service providers to collect, process, facilitate and remit payments in respect of Transactions. Amounts received from You may be held pending completion or verification of agreed milestones and may thereafter be disbursed to the Contractor in accordance with the applicable Agreement.

8.8 Bank transfers and cheque payments are processed using applicable banking infrastructure and remain subject to the terms of the relevant banking relationship.

8.9 Card payments are processed using payment gateways or applicable payment infrastructure and remain subject to the terms of the issuing bank/payment provider.

8.10 E-wallet payments are processed through third-party payment providers and remain subject to their terms.8.11 Krupa Homes does not provide or facilitate financing, loans, credit facilities or other financial products through the Platform.

8.12 Krupa Homes may be subject to transaction limits imposed by banking or payment partners and shall not be liable for a decline caused by such limits.

8.13 Amounts received from a User may be retained pending satisfaction of agreed project milestones and may thereafter be released or remitted to the Contractor.

8.14 The payment facility is intended to facilitate collection and remittance of project payments. Krupa Homes does not thereby become a bank or financial institution.

8.15 You shall comply with applicable laws relating to payments, taxation, anti-money laundering, foreign exchange and other applicable financial requirements.

9. Intellectual Property

9.1 Intellectual property in the Platform and its material, content, designs, graphics, images, photographs, logos, trademarks, software and layout belongs to Krupa Homes or its licensors. You may not copy, modify, publish, distribute, sell or transfer such material without permission.

9.2 You may not frame or use Krupa Homes trademarks, logos, proprietary information or hidden text without prior written consent.

10. User Content

You grant Krupa Homes a licence to use and modify User Content in which You hold intellectual property rights, consistent with the Privacy Policy and applicable law, including for operating, improving and analysing the Platform.

11. Contents Posted on the Platform

11.1 The Platform, its processes, selection and arrangement, including text, graphics, interfaces, artwork and computer code, are owned or controlled by Krupa Homes or its licensors and protected by applicable intellectual property laws.

11.2 Information purposely made available for downloading may be used only for permitted personal and informational purposes and subject to applicable proprietary notices.

11.3 Software available on the Platform remains the property of Krupa Homes or its vendors and may not be used, downloaded or installed except as expressly permitted.

12. Privacy Policy

12.1 Personal information supplied to Krupa Homes when using the Platform will be used in accordance with the applicable Privacy Policy and applicable laws.

13. Infringement and Take Down Policy

13.1 Krupa Homes is committed to addressing content that infringes intellectual property rights. Alleged infringement may be reported to grievance@krupacorp.com with sufficient details to identify the intellectual property, the allegedlyinfringing content, ownership or authorization, contact information and supporting declarations.

13.2 Krupa Homes will respond to infringement notices in accordance with applicable law and may terminate accounts for infringement.

13.3 By submitting an infringement notice, the complainant confirms the accuracy of the information and acknowledges that the notice may be shared with relevant parties, legal advisers and authorities where appropriate.

13.4 Krupa Homes may remove allegedly infringing content after verification or as otherwise required by law.

13.5 Krupa Homes may request additional information or take down content in accordance with its policies and applicable law.

13.6 Krupa Homes may restore content where the complainant fails to establish the alleged infringement or where otherwise appropriate under applicable law.

14. Breach of these Terms of Use

If You violate these Terms or applicable Agreements, Krupa Homes may suspend or terminate access to the Platform, take available remedies and report the matter to relevant authorities where required.

15. Third Party Content

15.1 Krupa Homes may display third-party information including Contractor details, descriptions, specifications, reports, advertisements, images, links and other data. Such content may be provided on an “as is” basis.

15.2 Krupa Homes shall not be responsible for losses arising solely from reliance on Third Party Content, except where liability cannot lawfully be excluded.

15.3 Third-party advertisements, hyperlinks or redirection tools are not controlled by Krupa Homes and may take You to third-party content.

16. Disclaimer and Limitation of Liability

16.1 The Platform is provided on an “as is” and “as available” basis. Krupa Homes does not warrant uninterrupted availability, accuracy, reliability, quality, error-free operation, security or non-infringement of the Platform, except as required by applicable law.

16.2 To the maximum extent permitted by law, Krupa Homes shall not be liable for indirect, incidental, special, punitive or consequential losses arising from these Terms or Transactions.

16.3 Krupa Homes does not recommend or endorse any particular Contractor except as expressly stated in its service model and does not assume responsibility for Contractor construction services except to the extent expressly undertaken by Krupa Homes.

16.4 Krupa Homes is not responsible for services rendered by third-party Contractors except to the extent expressly undertaken under an applicable Agreement or required by law.

16.5 Materials or data downloaded through the Platform are accessed at the User’s discretion and risk.16.6 Krupa Homes shall not be liable for loss arising from unauthorised use of a User account to the maximum extent permitted by law.

16.7 Where applicable, third-party app stores and payment providers may have separate terms governing their services.

16.8 Krupa Homes may use third-party technology providers to store and process information. Their handling of information is subject to applicable contracts and the Privacy Policy.

16.9 Krupa Homes may engage independent third-party providers for payment processing, hosting, communications, identity verification, project support and ancillary services.

16.10 To the maximum extent permitted by applicable law, Krupa Homes’ aggregate liability shall not exceed the greater of INR 100 or the amount of fees, if any, paid directly to Krupa Homes under the relevant order to which the claim relates.

16.11 Where a refund is otherwise due under the applicable construction agreement or other Agreement, Krupa Homes’ remedy may include exercising reasonable efforts to facilitate such refund in accordance with the applicable agreement.

17. Indemnity

17.1 You agree to indemnify Krupa Homes, its Affiliates, licensors, subsidiaries, group companies, officers, directors, agents and employees against claims, losses, liabilities, costs and expenses arising from Your breach of these Terms, violation of law or infringement of third-party rights.

17.2 Krupa Homes may notify You of an indemnified claim and may require consultation regarding its defence. You shall not settle or admit liability on behalf of Krupa Homes without its prior written consent.

18. Feedback and Information

18.1 Feedback provided to Krupa Homes shall be treated as non-confidential and may be used by Krupa Homes without compensation or reimbursement.

18.2 Krupa Homes may modify or improve the Platform based on feedback. To the extent permitted by law, You shall have no ownership rights in such modifications or improvements.

19. Amendments to the Terms of Use

Krupa Homes may amend or replace these Terms and other policies from time to time by updating the relevant document on the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the amended Terms.

20. Severability and Waiver

If any provision of these Terms is held invalid by a competent court, the remaining provisions shall continue in full force and effect. Failure to enforce a provision shall not constitute a waiver of that provision or any other provision.

21. Relationship between Us and Users

Neither use nor registration on the Platform creates a partnership, joint venture, agency, principal-agent, employer-employee or similar relationship between the User and Krupa Homes.

22. Assignment

You may not assign or transfer these Terms or rights or obligations under them without prior written consent. Krupa Homes may assign or transfer its rights or obligations to an Affiliate or third party, including in connection with a business transfer, subject to applicable law.

23. Force Majeure

If performance is prevented, restricted, delayed or interfered with by labour disputes, strikes, acts of God, floods, lightning, severe weather, shortages, utility or communication failures, earthquakes, war, terrorism, civil commotion, government action, judicial orders, blockade, embargo or another event beyond reasonable control (“Force Majeure Event”), Krupa Homes shall be excused from affected performance for the duration of the Force Majeure Event and shall use reasonable commercial efforts to resume performance.

24. Applicable Law, Jurisdiction and Dispute Resolution

24.1 These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration provisions below and applicable law, the courts at Guntur, Andhra Pradesh, India shall have jurisdiction.

24.2 If a dispute arises out of or in connection with these Terms, the parties shall first use reasonable efforts to resolve it amicably within 30 days of written notice of the dispute, or such longer period as mutually agreed.

24.3 If the dispute is not resolved amicably, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed by mutual consent, failing which appointment shall be made in accordance with applicable law. The seat and venue of arbitration shall be Guntur, Andhra Pradesh, India. The proceedings shall be conducted in English.

24.4 The parties may conduct arbitration proceedings remotely through video conferencing where permitted and appropriate, subject to the Act and directions of the Arbitral Tribunal.

24.5 The Arbitral Tribunal shall conduct proceedings in accordance with applicable law and may determine the appropriate procedure and hearing format.

24.6 The award shall be in writing and final and binding on the parties subject to applicable law. Costs shall be allocated as determined by the Arbitral Tribunal or otherwise in accordance with applicable law.

24.7 Where legally permissible, the Arbitral Tribunal may consolidate related disputes where consolidation is efficient and does not prejudice a party.

24.8 Unless the subject matter of the dispute makes continued performance impossible, the parties shall continue performing undisputed obligations during the dispute.
